This is a nuts-and bolts class taking you from the basics of using entities through day-to-day operations to maintain asset protection and reduce taxes. Upon completion of the class, you will not only understand how to structure your own plan, but why you are using your own particular structure. So, if you have been confused by what you have heard from other presenters, this class will clear it up.
This three (3) day program is designed to teach the concepts as well as the practical aspects of the limited liability company (LLC), S and C corporations, as well as the general partnership and limited partnership. The intent is to provide you with the information you need to not only setup, but to properly run your LLC, corporation or partnership starting Monday morning!
There are three considerations in every new venture – legal, tax and business. Many people leave the decision as to which type of entity they should use to their attorney or accountant. These professionals may be good at what they do, but their views are strongly influenced by their area of expertise. This can lead to a poor choice, since all factors are not considered. Here we will cover the legal, tax and business points you should consider when choosing the optimal entity for your situation. The knowledge should be in your hands, not someone else telling you what you should do.
And the best place to get this information is at this meeting. Why? I am a full time real estate investor just like many of you. The limited liability company and partnership have some unique asset protection features that are not shared by any other entity. But the corporation has fringe benefits not available in any other entity. All these will be covered in detail so you will understand the tax benefits and what can happen if you are involved in a lawsuit and a judgment is rendered against you. For example, a party holding the judgment is entitled a “charging order” against your LLC or limited partnership interest. But they have no right to the assets of the LLC or limited partnership, only to whatever distribution is made to you. The charging order can be an economic hot potato – if you know how to effectively utilize it.
Estate planning using these entities can not only provide asset protection, but can also provide valuation discounts that lower – or eliminate – estate taxes. At the same time, you maintain control of all the assets! And, if you should become incapacitated, an officer or co-manager can continue to lease, buy, sell and otherwise deal with the property without having to go to court to have a guardian appointed.Your entity can do a lot for you – if your day-to-day operations prove that your LLC, corporation or partnership is truly a separate entity from you. It must look, think and act like what you intend it to be. Along the way, we will cover business, legal and tax strategies to generate better returns.
For a number of reasons, you may want to operate an LLC as a corporation, either a “C” or an “S”. When does this make sense? Maybe more often than you realize.
